These Terms of Service (“Terms”) apply to your use of the websites, mobile applications or other online services owned or controlled by TLC Fi LLC (collectively, the “Site” or “Sites”), its subsidiaries or affiliates (“TLC”, “we”, “our” or “us”) that post a link to these Terms, whether accessed via computer, mobile device, otherwise. You agree that you have read, understand and agree to be bound by these Terms of Service. Please read them very carefully. If you do not wish to be bound by these Terms of Service, you must not access or use the Site.
When using the particular services or features of the site, both these Terms and a separate contract may apply to your use of that service or feature. You may also enter into separate agreements with banks or other lenders that will govern your use of certain products and services offered on the Site. If there is any contradiction between these Terms of Service and another agreement you enter into that is applicable to a product, service or feature offered on the Site, then the other agreement will take precedence with respect to that product or service.
This Site is intended solely for users who are 18 years of age or older, and any registration or use of the Site by anyone under 18 is unauthorized and in violation of these Terms of Service. You may be required to provide personal information to verify your identity in order to use the Site. By using the Site, you represent you are 18 or older, that the personal information you have provided is accurate and correct, and that you agree to and to abide by all of the terms and conditions of these Terms of Service. If you violate any of these Terms, or violate any other agreement with us, we may terminate your registration, and any content or information that you have posted on the Site and/or prohibit you from using or accessing our products and services or the Site.
Use of certain areas of the Site may require you to create an account and pick a password. You may have only one account and may not authorize any other person to use your account. You may not disclose your username or password to any third party. If you learn of any unauthorized use of your password or account, please contact us immediately.
You may be presented with the opportunity to register, apply for a loan offer, or register to be an investor through the Site. When you register or apply for a loan, you agree to provide current, complete, and accurate information about yourself. If any information you provide is untrue, inaccurate, not current, or incomplete, we have the right to cancel your registration, reject any application you have submitted, terminate any agreement we have with you and restrict your future use of the Site and the products and services available through it. We reserve the right to reject any registration and/or decline any application for a loan.
You agree that the Site and all logos related to ours and the Lenders’ products and services are ours, and relevant licensors’ trademarks or registered trademarks, respectively. You may not copy, imitate or use them without our prior written consent. In addition, all page headers, custom graphics, button icons, and scripts are our service marks, trademarks, and/or trade dress. All right, title and interest in and to the Site, including any content thereon, products and services made available through the Site, the technology related to our products and services, and any and all technology and any content created or derived from any of the foregoing is our or our licensors’ exclusive property.
Subject to your compliance with these Terms of Service, TLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Site.
You agree to abide by all applicable laws and regulations in your use of the Site and the products and services available through our Site. In addition, you agree not to:
· Submit content that in our judgment is objectionable, such as content that is harmful, threatening, inflammatory, obscene, fraudulent, invasive of privacy or publicity rights, hateful, or otherwise objectionable, or which restricts or inhibits any other person from using or enjoying the Site, or which may expose us or our users to any harm or liability of any type
· Impersonate any person or entity, or falsely state or otherwise misrepresent yourself, your age or your affiliation with any person or entity;
· Use the Site or our products and services in any manner that could damage, disable, overburden or impair the Site; or
· Engage in, or attempt to engage in any potentially harmful acts that are directed against the Service, including but not limited to violating or attempting to violate any security features of the Service, using manual or automated software or other means to access, “scrape,” “crawl” or “spider” any pages contained in the Service, introducing viruses, worms, or similar harmful code into the Service, or interfering or attempting to interfere with use of the Service by any other user, host or network, including by means of overloading, “flooding,” “spamming,” “mail bombing,” or “crashing” the Service.
You agree that all access and use of the Site and its contents and your use of the products and services made available through it is at your own risk. In no event shall TLC or any bank or lender be held liable for any damages, including direct or indirect, special, incidental, or consequential damages, losses or expenses arising in connection with the Site or any third party site or use thereof or inability to use by any party, or in connection with any failure of performance, error, omission, interruption, defect, delay in operation or transmission, computer virus or line or system failure, even if TLC, any bank or lender or our respective representatives are advised of the possibility of such damages, losses or expenses.
The Site and the products and services made available through it are provided “as is” and without any representation or warranty, whether express, implied or statutory. TLC, the banks or lenders you may be connected with via TLC, and our respective officers, directors, agents, employees and suppliers specifically disclaim any implied warranties of title, merchantability, fitness for a particular purpose and non-infringement. Neither TLC, nor the banks or lenders you may be connected with via TLC, warrant the accuracy, adequacy or completeness of the information provided on the Site and TLC and the banks or lenders you may be connected with via TLC expressly disclaims liability for any errors or omissions in such information. TLC does not guarantee continuous, uninterrupted or secure access to the Site, and the operation of the Site may be interfered with by numerous factors outside of our control. Neither TLC nor the banks or lenders you may be connected with via TLC guarantee or promise any specific results from use of the Site and/or our products and services. Calculators and tools on the Site provide you with estimates that may be different than actual amounts. Neither TLC nor the banks or lenders you may be connected with via TLC are
responsible for the conduct, whether online or offline, of any user of the Site or the products or services available through it. You agree that TLC on behalf of itself, or any bank or lender, may promptly correct any error that we discover, including any error in calculating your loan rates. If the error results in your receipt of an incorrect interest rate, APR, origination fee, or monthly amount owed TLC we will notify you and provide you with the correct rate. You agree to provide any additional consents necessary to correct any errors that occur.
The TLC Privacy Policy explains how the personal information you provide on or in connection with the Site is used, disclosed and protected by TLC.
Third party sites with links on the Site may have their own Terms of Service and Privacy Policies. It is your responsibility to read and understand those documents before using such sites.
If you believe that any material on the Site infringes upon any copyright that you own or control, you may send a written notification to us via email at info@thelendingcompany.com , or via regular mail at 40 SE 5th Street, suite 403 Boca Raton, Florida 33432. In your notification please:
· confirm you are the owner, or authorized to act on behalf of the owner, of the copyrighted work that has been infringed;
· identify the copyrighted work or works you claim has been infringed;
· identify the material that you claim is infringing or is the subject of infringing activity and that is to be removed; please include information reasonably sufficient to permit us to locate the material;
· provide your contact details, including an email address; and
· provide a statement that the information you have provided is accurate and that you have a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent or the law.
These Terms of Service shall be governed in all respects by the laws of the State of Delaware, without regard to its provisions relating to conflict of laws. Our failure to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. If any provision of the Terms of Service is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of the Terms of Service remain in full force and effect.
We reserve the right to temporarily or permanently modify or discontinue the Site, or any portion of the Site, for any reason, without notice to you. We may also change the Terms of Service from time to time. The “Effective Date” at the end of the Terms of Service indicates when these Terms of Service were last changed. If we make future changes, we will provide you with notice of such changes, such as by sending an email, providing a notice through our Site, or updating the date at the top of these Terms of Service. Unless we say otherwise in our notice, the amended Terms of Service will be effective immediately, and your continued use of our Site after we provide notice will confirm your acceptance of the changes. If you do not agree to the amended Terms of Service, you must immediately stop using our Site.
We reserve the right, without notice or liability and at our sole discretion, to suspend or terminate these Terms and/or your ability to access and use the Site, and to block or prevent future access to and use of the Site for any reason, including, without limitation, your breach of these Terms of other conduct we consider inappropriate. You acknowledge and agree that termination, suspension or cancellation of these Terms or your access to the Site will not affect any right or relief to which we may be entitled, at law or in equity, nor shall they affect any obligation you have to us, including but not limited to the payment of fees.
